Sell-Side Advisory · For Business Owners

Sell on your terms, with a senior advisor at the table from the first conversation to the last signature.

Most owners sell once. We have done it with them for more than a decade: a candid read on value, a plan to close the gaps, and representation that keeps your sale private until the day it closes.

● Confidential and off-market. No public listing without your approval.

Clear answers first. A sale only when it is right.

Every engagement begins with understanding where your business truly stands. From there we help you decide, and when the time is right, we represent you through the entire sale.

01

Business Assessment of Value

A candid, senior-level read of your business as a buyer and a buyer’s lender would see it: recast earnings, transferability, customer concentration, and the specific factors that would move value before a sale. It ends in a market-based value range grounded in real transactions, not theory, prepared by an advisor who negotiates with those buyers every week.

For owners who want to know where they stand, whether a sale is one year out or five. Also used for planning, partner discussions and lender conversations.

02

Exit Planning & Business Prep Advisory

For owners one to three years from a sale: a practical plan to strengthen the business, clean up the financials, document the add-backs, reduce owner dependence and remove the issues that cost sellers the most at the negotiating table. We check the plan against what a buyer’s lender will finance, so the price you want is a price that closes.

For owners who would rather sell from strength than urgency. A period of preparation can change the outcome by seven figures.

Seller Representation

Four phases. One advisor through all of them.

Representation is not a listing. It is a managed process, and the work before the market and after the closing is where most of the value is won or lost.

1
Before Market

Preparation & Positioning

Recast financials and documented add-backs, a defensible value range, a lender fit check on the likely price, a confidential information memorandum, and a buyer list built around who can actually finance and run your business.

2
On the Market

Discreet Buyer Process

Blind outreach to vetted buyers across the U.S. and Latin America. Every buyer signs a confidentiality agreement and is qualified before your company is identified. We run the questions, the management meetings and the competing offers.

3
At Closing

Negotiation & Transaction Management

We negotiate the letter of intent firmly on your behalf, manage due diligence and the buyer’s lender, and work with your attorney and CPA on the purchase agreement through to a clean, successful close.

4
Transition

Handover & After the Sale

A transition plan agreed before closing: training period, customer and staff introductions, and tracking of any seller note, earn-out or equity rollover, so the terms you negotiated are the terms you receive.

Who We Work With

Owner-operated businesses, sold to buyers who can close.

We take on a small number of engagements at a time, each with a senior advisor at the table. If your business is not yet ready, or we are not the right fit, we will tell you directly and point you toward a better path.

01 — THE BUSINESS☰

Privately held, typically $1M to $50M in revenue

Trades and home services, healthcare and practices, professional and business services, technology, distribution and manufacturing, real estate-backed businesses, retail and e-commerce.

02 — THE OWNER●

Owners who want the truth before the pitch

Most of our clients are founders and owner-operators who have run the business for a decade or more, want a confidential process, and would rather hear a candid number than a flattering one.

03 — THE BUYER⚖

Qualified, financeable and nationwide

Individual buyers with SBA financing, strategic acquirers, search funds and private investors, sourced across the United States and Latin America. Every one qualified before they learn your company’s name.

Questions Owners Ask

Straight answers before you pick up the phone.

What is a Business Assessment of Value, and how is it different from an appraisal?
The assessment is a market-based view of what your business would likely command from qualified buyers today, prepared by an advisor who negotiates with those buyers regularly, together with the factors that would move the number. A certified appraisal is a formal valuation used for legal, tax or lending purposes. If your situation requires one, we will tell you so and point you to the right resource.
How long does a sale take?
Preparation typically takes four to eight weeks, the buyer process two to four months, and diligence and closing another two to three months, so most engagements run six to twelve months from start to finish. An owner who prepares first usually closes faster, and for more.
Will my employees, customers or competitors find out?
No. There is no public listing without your approval. Buyers see a blind profile first, sign a confidentiality agreement, and are qualified before your company is identified. Staff and customers learn of the sale when you decide, usually at or after closing.
Do most buyers use financing?
Yes. Most buyers of businesses this size use SBA loans, and if a lender will not finance the price, the price usually comes down. We check lender fit before you go to market and coordinate the buyer’s lender through closing, so financing does not become the surprise that kills the deal.
What if the honest answer is that I should wait?
Then that is what we will tell you, with a specific list of what to fix and how long it should take. We decline more engagements than we accept. Exit Planning & Business Prep exists for owners who want to sell from strength rather than urgency.
How are you paid?
Plainly and up front. We discuss fees in our first conversation, and there is no obligation of any kind until you decide to engage us.
